Pursuant to provisions of Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations 2015 please find attached theJudgement of Honble Securities Appellate Tribunal (SAT) pronounced on 23.02.2023 in the matter of appeal filed by the Company against the order dated 23 January 2020 of SEBI on the levy of penalty on the Company and its promoters in the case of GDR issue.

Clarification Under Reg. 30 Of The SEBI (Listing Obligations And Disclosure Requirements) Regulations 2015
This has reference to your email dated 13 December 2022 and reminder email dated 05.01.2023.At the outset we apologize for the delay in filing the reply as there 1s constraint due to shortage ofstaff. We however submit as under:1. The Company has already filed an appeal before the Honble Securities Appellate Tribunal(SAT) assailing the order dated 23 January 2020 of SEBI on the penalty levied on theCompany in GDR matter. The very quantum of the penalty was challenged on facts andlaw supported by several precedents of Honble SAT and SEBI. The Appeal has beenadmutted and the Honble Tribunal has reserved its judgment on 06 February 2023 whichis expected to be pronounced soon. The same will be intimated to your good office as andwhen it is pronounced.We hope it clarifies the position.
